In N&A we provide periodic (and/or specific) counseling to different parties involved in the local Capital Market. We have vast experience advising enrolled Agents (mainly Clearing and Settlement Agents (Agente de Liquidación y Compensación, ALyC) governed permanently by the National Securities Commission (Comisión Nacional de Valores, CNV) and the Financial Information Unit (Unidad de Información Financiera, UIF) in all regulatory as well as contractual matters.

Likewise, we have participated in the incorporation and registration of different Agents (ALyCs, Trading Agents (Agente de Negociación, AN), Issuing Agents (Agente Productor, AP), Managing Agents of Collective Investment Products (Agente de Administración de Productos de Inversión Colectiva, AAPIC), etc.) before CNV, as well as in M&A procedures of various authorized Agents, where we adapted the standard due diligence operations in corporate matters to the risks inherent to the activity carried out by the Agent. We are present until the corresponding Takeover process is completed, and we participate in updating the company’s internal policies and procedures to achieve full compliance with the applicable law. Our assistance includes periodic counseling to our clients regarding their compliance with the Reporting System of CNV according to their category, redacting and submitting diverse requests and/or answers to that organization, and assistance in implementing assorted agreements between third parties related to the client’s operations.
